                                 ORDER
 
        Flamemaster Corporation's  right to perform  eleven purchase
   orders   was  terminated  for   default  and,  in   this  appeal,
   Flamemaster  challenged the  termination  for  default  and  also
   requested an award of $9,500.
 
        On November  2, 1993, the  parties filed a joint  motion for
   dismissal with prejudice.
 
        Accordingly,  this appeal is DISMISSED WITH PREJUDICE.  Rule
