                              ORDER

     This appeal challenged a contracting officer's decision reducing the amount claimed
under appellant's settlement proposal for termination for convenience costs.  The parties have
jointly filed a stipulation of dismissal stating that all disputes, claims, and counterclaims with
respect to this matter have been settled and requesting that the appeal be dismissed.

     In accordance with the joint stipulation of the parties, this appeal is DISMISSED
WITH PREJUDICE.  Rule 28(a).
