                              ORDER

     On October 12, 2005, GMRC Sales, Inc. appealed the final
decision of a General Services Administration contracting officer
denying its claim under contract number GS04F05FBEA151 in
connection with the sale of a diesel engine.

     On February 3, 2006, the parties filed a joint stipulation of
dismissal stating that the parties have reached an agreement and
requesting that this appeal be dismissed with prejudice.

     Accordingly, this appeal is DISMISSED WITH PREJUDICE.  Rule
128.
